• Your access to, use of, or inability to access or use the Site or services
• Any conduct or content of any third party on the Site
• Any content obtained from the Site
• Unauthorized access, use, or alteration of your transmissions or content
• Any food product purchased or consumed through our services

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SEASONS PIZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL SEASONS PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE AND SERVICES EXCEED THE GREATER OF: (A) ONE HUNDRED DOLLARS ($100.00 USD), OR (B) THE TOTAL AMOUNT YOU PAID TO SEASONS PIZZA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain types of liability, so some of the above limitations may not apply to you. In such jurisdictions, Seasons Pizza's liability shall be limited to the greatest extent permitted by applicable law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Seasons Pizza, its owners, officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service

• Your violation of any applicable federal, state, or local law or the rights of any third party, including intellectual property rights, privacy rights, or rights of publicity

To the extent that any applicable federal law, including the Federal Trade Commission Act (15 U.S.C. § 45 et seq.) and related consumer protection regulations, applies to our operations, Seasons Pizza affirms its commitment to complying with such laws. Additionally, if you are a resident of California, your rights under the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA) are acknowledged and honored as further described in our Privacy Policy.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact Seasons Pizza at [email protected] and attempt to resolve any dispute informally. We will use good-faith efforts to resolve the dispute within thirty (30) days of receiving your written notice. If we are unable to resolve the dispute within that period, either party may proceed with formal dispute resolution as described below.

13.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for disputes that qualify for small claims court and except as otherwise provided herein, you and Seasons Pizza agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to your use of the Site or services (collectively, "Disputes"), shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitration will be conducted in the English language, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

The arbitrator shall have exclusive authority to resolve any Dispute relating to the interpretation, applicability, enforceability, or formation of this Agreement, including any claim that all or any part of this Agreement is void or voidable.

13.3 Class Action Waiver

YOU AND SEASONS PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and Seasons Pizza agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

13.4 Small Claims Court

Notwithstanding the foregoing, either party may bring an individual action in small claims court if the claim is within that court's jurisdiction and the claim qualifies as a small claims matter under applicable law.

14. Term and Termination

These Terms of Service shall remain in full force and effect for as long as you use the Site or maintain an account with Seasons Pizza. You may terminate your account at any time by contacting us at [email protected] and requesting account deletion.

Seasons Pizza reserves the right, in its sole discretion, to suspend or terminate your access to all or any part of the Site or services, with or without cause, and with or without notice, effective immediately, including but not limited to circumstances where:

• You breach or violate any provision of these Terms
• We are required to do so by law or applicable regulation
• Your account has been inactive for an extended period
• You engage in fraudulent, abusive, or disruptive behavior
• Continued provision of services to you is, in our sole judgment, no longer commercially viable

Upon termination of your account, your right to use the Site and services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, dispute resolution, and limitations of liability.

In the event of a Force Majeure Event, our obligations will be suspended for the duration of the event, and we will use reasonable efforts to resume normal operations as soon as practicable.

19. No Agency or Partnership
